1.1 These Terms of Service (TOS) apply to all services and offers provided by Landing Pages IO Marketing Management FZE (hereinafter “Landing Pages IO”), with its registered office at The One Tower, Floor 18, Office 17, Barsha Heights, Dubai, United Arab Emirates. These TOS form part of all contracts concluded between Landing Pages IO and its business partners (hereinafter referred to as the “Client”) regarding the services or deliveries provided by Landing Pages IO. These TOS also apply to all future services or offers made to the Client, even if they are not explicitly agreed upon again.
1.2 Terms and conditions from the Client or third parties do not apply, even if Landing Pages IO does not expressly object to their applicability in individual cases. Even if Landing Pages IO refers to a letter or an email that contains or refers to the Client’s or a third party’s terms and conditions, this does not constitute consent to the applicability of such terms.
1.3 The offers and services from Landing Pages IO are directed at business entities, merchants, and private individuals.
2.1 Landing Pages IO provides online consulting and marketing services, especially in the areas of landing page and website creation, ad campaign management, and process optimization. Unless expressly agreed otherwise in writing, Landing Pages IO is not obliged to achieve any specific results, particularly not achieving specific revenue targets or metrics.
2.2 Client Cooperation Requirements: The Client must perform any necessary cooperation actions fully and promptly at Landing Pages IO’s request. Necessary cooperation actions include, but are not limited to:
If the Client fails to perform a necessary action, thereby preventing Landing Pages IO from delivering its services, the agreed payment remains unaffected.
2.3 Landing Pages IO reserves the right to subcontract or outsource services to third parties. Personal delivery of services is not guaranteed.
2.4 The Client is responsible for ensuring the necessary technical requirements (e.g., internet connection, camera, microphone) for using the services provided by Landing Pages IO.
2.5 Booking consulting services from Landing Pages IO does not establish an employment relationship.
2.6 Website Conversion System: If the Client engages Landing Pages IO to build a Website Conversion System, the following conditions apply:
3.1 The prices quoted by Landing Pages IO are binding. The prices are stated exclusive of VAT. A VAT of 5% will be applied to all services in accordance with the laws of the United Arab Emirates.
3.2 The Client’s payments are due immediately in full and upfront unless otherwise agreed in writing.
3.3 Landing Pages IO will issue the Client a valid invoice, including VAT where applicable.
3.4 If the Client is in default of payment, Landing Pages IO reserves the right to withhold further services until the outstanding balance is settled.
3.5 Landing Pages IO will cease delivering any kind of service if payments are late.
3.6 Offsetting claims are only permissible if they are acknowledged by Landing Pages IO or have been legally established.
4.1 The contract term is the period agreed upon between the parties. Early termination is excluded unless otherwise provided in this agreement.
4.2 Any termination must be made in writing to be effective.
4.3 The right to extraordinary termination for cause remains unaffected. Cause for extraordinary termination includes situations where the Client is unable to fulfill contractual obligations due to circumstances beyond their control, and sufficient proof is provided.
5.1 Delivery deadlines for services provided by Landing Pages IO only begin after the invoice has been paid in full, and the Client has fulfilled all necessary obligations.
5.2 If the Client defaults on payments, Landing Pages IO is entitled to terminate the contract extraordinarily and cease services. In such cases, Landing Pages IO may claim damages equal to the fees due until the next regular termination date.
6.1 Landing Pages IO will deliver the agreed services with due care.
6.2 If Landing Pages IO is prevented from providing services due to circumstances within the Client’s control, the payment obligation remains unaffected.
7.1 The Client is expected to act in accordance with fair business practices. Any illegal or inappropriate behavior towards Landing Pages IO or its services may be subject to legal action.
7.2 If the Client repeatedly disrupts or violates the rules of conduct in programs or events organized by Landing Pages IO, the company reserves the right to exclude the Client from participation. The payment obligation remains unaffected in such cases.
8.1 Upon full payment, all work products created by Landing Pages IO, including website designs, code, and content, shall become the property of the Client.
8.2 Any distribution of materials or sharing of access to online platforms with third parties is prohibited without prior written consent from Landing Pages IO.
8.3 Transfer of usage rights is conditional upon full payment of the agreed fees.
9.1 Landing Pages IO agrees to keep any confidential information shared by the Client strictly confidential and not disclose it to any third party without prior written consent, except as required by law.
10.1 Both parties represent that they have the legal authority to enter into this Agreement.
10.2 Landing Pages IO warrants that it has the necessary skills and experience to perform the services outlined herein.
10.3 The Provider’s liability is limited to the value of the services provided, excluding any indirect, incidental, or consequential damages.
11.1 All agreements entered into between Landing Pages IO and the Client are governed by and construed in accordance with the laws of the United Arab Emirates.
11.2 The place of performance is the registered office of Landing Pages IO in Dubai. The exclusive jurisdiction for all disputes arising from or in connection with this Agreement is Dubai, United Arab Emirates.
12.1 Any deviations from these TOS must be agreed upon in writing.
12.2 Should any provision of this contract be invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the economic intent of the original provision.
